Terms & Conditions
These Terms and Conditions (“Terms”) govern your use of the services provided by Addweb Web Services (Pty) Ltd (“Addweb”, “we”, “us”, or “our”) and apply to all quotations, services, and work performed for clients, whether local or international. By engaging with Addweb, you agree to be bound by these Terms.
Scope of Services
Addweb provides professional web development, design, audits, consulting, and related digital services. Our services are available to both South African and international clients.
Free Quotations
We offer free, no-obligation quotations. All quotations are valid for 14 (fourteen) calendar days from the date of issue. After this period, pricing and availability may be subject to change.
Audit Fees
Website audits and digital assessments are billed at R3,000 (South African Rand). Full payment is required in advance, prior to delivery of any audit reports. These fees are non-refundable once work has commenced.
Deposits and Payment Terms
Unless otherwise agreed in writing, all projects require a 50% deposit upfront before any work begins.
- The remaining 50% is due upon project completion and prior to final handover or deployment.
- For larger or phased projects, custom payment arrangements may be negotiated.
- Invoices are payable within 7 (seven) calendar days of issue unless otherwise specified.
Failure to make timely payment may result in delays or suspension of services.
Client Responsibilities
To ensure the timely delivery and quality of our services, clients are expected to:
- Provide all necessary content, assets, approvals, and access credentials within a reasonable time frame.
- Respond to communications, questions, and feedback requests promptly.
- Clearly communicate scope, revisions, or changes to avoid project misalignment.
Delays in client feedback or provision of materials may affect timelines and quoted costs.
Content Standards and Legal Compliance
We reserve the right to decline or terminate any project or content request that:
- Promotes illegal activity or violates any applicable law (South African or international)
- Contains hate speech, abuse, exploitation, or misleading claims
- Fails to meet reasonable standards of quality, professionalism, or ethical norms
We will not knowingly participate in building, hosting, or facilitating websites that contravene these values.
Intellectual Property
Unless otherwise agreed:
- All custom work created by Addweb (including code, designs, and documentation) remains Addweb’s intellectual property until full payment is received.
- Upon final payment, ownership of agreed deliverables is transferred to the client.
- Addweb reserves the right to showcase completed work in our portfolio unless otherwise requested in writing.
Warranty and Support
Addweb offers a 14-day post-launch support window for any critical issues or bugs directly related to the completed work.
- Ongoing maintenance, updates, or feature expansions must be arranged under a separate agreement or retainer.
- We do not guarantee third-party service performance (e.g., hosting, plugins, APIs).
Limitation of Liability
While we strive for excellence, Addweb shall not be liable for:
- Loss of revenue, business interruption, or indirect damages
- Delays caused by third parties or client-side issues
- Content provided by the client that infringes on third-party rights
Our maximum liability shall be limited to the total fees paid for the specific service rendered.
International Clients and Tax
We currently do not charge VAT, as we are not VAT-registered. International clients are responsible for compliance with any applicable tax laws in their jurisdiction.
Cancellation and Refund Policy
- Cancellations made before work begins may be eligible for a partial refund, minus administrative costs.
- Deposits are non-refundable once work has commenced.
- Refunds are not issued for completed services or late-stage project cancellations.
Governing Law
These Terms are governed by the laws of the Republic of South Africa, and any disputes shall be subject to the jurisdiction of the South African courts.
Amendments
We reserve the right to update or modify these Terms at any time. Clients will be notified of significant changes, and continued use of our services after such updates constitutes acceptance of the revised terms.
